Software License Agreement

Effective Date: February 24, 2026

This Software License Agreement ("Agreement") governs the use of the Node Studio software ("Software") provided by Node Studio ("Licensor", "we", "our", or "us"). By downloading, installing, or using the Software, you agree to be bound by this Agreement.

If you do not agree to these terms, do not install or use the Software.

1. Grant of License

Subject to compliance with this Agreement, Licensor grants you a limited, non-exclusive, non-transferable, non-sublicensable license to:

  • Install and use the Software on your devices
  • Use the Software for personal, educational, or commercial purposes according to your subscription plan

This license does not transfer ownership of the Software.

2. License Types

The Software may be offered under different license tiers, including but not limited to:

  • Free License – Limited features for evaluation or non-commercial use
  • Pro License – Expanded features for individual professionals
  • Enterprise License – Custom licensing for organizations

The features and limitations of each tier are defined on the official pricing or licensing page.

3. Restrictions

You may NOT:

  • Copy, modify, or distribute the Software except as expressly permitted
  • Reverse engineer, decompile, or attempt to extract source code, except where permitted by law
  • Remove or alter copyright or proprietary notices
  • Resell, lease, sublicense, or redistribute the Software without written permission
  • Use the Software in a manner that violates applicable laws

4. Intellectual Property Rights

The Software, including all source code, design, structure, features, trademarks, and documentation, is owned by Licensor and protected by intellectual property laws.

All rights not expressly granted in this Agreement are reserved by Licensor.

5. Updates and Modifications

Licensor may provide updates, upgrades, or patches to improve functionality or security.

We reserve the right to:

  • Modify features
  • Add or remove functionality
  • Change pricing or licensing terms for future purchases

Continued use of updated versions constitutes acceptance of any revised terms.

6. Activation and Account Requirements

Certain versions of the Software may require:

  • Account registration
  • Email-based authentication
  • License key or subscription validation

You are responsible for maintaining access to your registered email and ensuring accurate account information.

7. Termination

This license is effective until terminated.

Licensor may terminate this Agreement if you:

  • Violate any term of this Agreement
  • Use the Software unlawfully

Upon termination, you must cease all use and uninstall the Software.

8. Disclaimer of Warranties

The Software is provided "as is" without warranties of any kind, either express or implied.

We disclaim all warranties including:

  • Merchantability
  • Fitness for a particular purpose
  • Non-infringement

We do not guarantee that the Software will be error-free or uninterrupted.

9. Limitation of Liability

To the maximum extent permitted by law, Licensor shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use or inability to use the Software.

This includes loss of data, revenue, or business opportunities.

10. Governing Law

This Agreement shall be governed by applicable laws based on the principal place of business of Licensor, unless otherwise required by law.

11. Entire Agreement

This Agreement constitutes the entire agreement between you and Licensor regarding the Software and supersedes any prior agreements.
